Welcome to Pilla, a real estate financial solutions provider, our primary focus is to empower property users and investors by providing distinctive financial services that catalyze property development and related transactions. The Pilla website and service including (without limitation) www.pilla.africa (the “Site”) and other all websites, mobile applications and other interactive properties through which the service is delivered (collectively, the “Services”) are owned, operated and distributed by Pilla technology resources Ltd (referred to in this terms of service as “PILLA” or “we” and through similar words such as “us,” “our,” etc.).

This Site Terms of Service Agreement (“Terms”) governs your use of all platforms offered by PILLA, including our website (pilla.africa), mobile application (“App”), and services we provide through them (collectively, the website, App, and services referred to as our “Site”). These Terms apply to users and visitors to our Site. Use of our Site is also subject to our current Acceptable Use Policy

The Terms form a legally binding agreement between you and us, and hence, please take the time to read them carefully. By using our Site or otherwise indicating your acceptance (for example, by agreeing when creating or logging into your account, clicking “I Agree,” etc.), you represent and warrant that you have read, understand, and agree to be bound by these Terms. If you do not agree, do not access or use our Site

2. Accepting the terms

Welcome to Pilla, a digital multi-currency real estate bank, our primary focus is to empower property users and investors by providing distinctive financial services that catalyze property development and related transactions. The Pilla website and service including (without limitation) www.pilla.africa (the “Site”) and other all websites, mobile applications and other interactive properties through which the service is delivered (collectively, the “Services”) are owned, operated and distributed by Pilla technology resources Ltd (reBy accessing or using our Services, you confirm that you have form a binding contract with PILLA, that you accept these Terms and that you agree to comply with them. Your access to and use of our Services is also subject to our Privacy Policy, the terms of which can be found directly on the Platform, or where the Platform is made available for download, on your mobile device’s applicable app store, and are incorporated herein by reference. By using the Services, you consent to the terms of the Privacy Policy.

You can accept the Terms by accessing or using our Services. You understand and agree that we will treat your access or use of the Services as acceptance of the Terms from that point onwards. ferred to in this terms of service as “PILLA” or “we” and through similar words such as “us,” “our,” etc.).

3. Changes to the terms

We amend these Terms from time to time, for instance when we update the functionality of our Services, when we combine multiple apps or services operated by us or our affiliates into a single combined service or app, or when there are regulatory changes. We will use commercially reasonable efforts to generally notify all users of any material changes to these Terms, such as through a notice on our Platform, however, you should look at the Terms regularly to check for such changes.

4. Eligibility

Age: You must be at least 18 years old to use our Site.

Eligibility Representations and Warranties: You represent and warrant that:

• You have not been prohibited from using or accessing any aspect of our Site by us or by any applicable law or regulation;

• You will comply with all applicable terms of any third-party payment provider we select, and you are not on a prohibited list of that payment provider;

• You(and any Site account that you created or control) have not been previously banned or removed from our Site for any reason.

5. Change of information

In the event of any change in your personal information or business provided to us at registration/onboarding, you agree to notify us within 5 days of such change. We may be unable offer our services to you if you contact us from an address, telephone number or email account that is not registered with us.

6. Account Opening

You can register/open account with us via the mobile application on your smart device, on the condition that you are at least 18 years old 

You must register an account with valid information. To benefit and use Pilla services, you must:

(a) Provide a valid mobile phone number and BVN;

(b) Agree to the creation of an account associated with such number;

(c) Accept the terms and conditions contained herein and;

(d) Submit any other additional information as may be requested during registration.

You agree to provide true, accurate and complete information about yourself as prompted during the account registration process.

You will receive a generic Personal Identification Number (PIN) and will be prompted to change/create a unique PIN for the purpose of reusing and securing your account. You are responsible for keeping your PIN secure. Your personal information is highly protected in accordance with our Privacy Policy published and updated on our platforms.

Our services shall only be made available to you once our KYC (Know Your Customer) process has been complied with by you and your identification has been verified. When you choose to open an account, you agree to us, using your information to make and receive payments on your behalf through your Pilla Account

7. Onboarding Requirements (kyc)

To meet our Know Your Customer (“KYC”) and Anti-Money Laundering (“AML”) obligations, we may require you to provide any or all the following:

(a) Your full name (as it appears on your government issued ID)

(b) Your date of birth, your Bank Verification Number (“BVN”);

(c) Your current residential address; your picture

(d) Copy of a valid Government issued ID (national ID, international passport, permanent voter’s card or driver’s license); a copy of recent utility bill, dated within three months of our request, which carries your name and address;

(e) Any other information or document as we may require for our internal risk assessment.

You warrant that all information and documentation provided to us are true, correct, and accurate

You hereby authorize PILLA to verify information provided by you against the information held by any third party (including official databases such as, NIBBS, Government Identity Databases, NIMC etc. and any other information bank available to us). We reserve the right to request for further information from you pertaining to your use of the Services at any time. Failure to provide such information within the time required may result in us declining to accept your application for an Account or access to our Services

8. Transacting on your account

Upon successful creation of your account, a Bank Account Number will be assigned to you. The account number will be required when you or a third party intend to fund your account.  All transactions will be processed in Nigerian local currency i.e., Naira and Kobo. You may transfer funds in your account to other accounts on the PILLA Mobile App, and to any bank account within Nigeria.

We may not process your transfer or payment if:

(a) Your instructions are unclear

(b) There are insufficient funds in your account to perform the required transaction

(c) In our sole opinion, we suspect a criminal, fraudulent or illegal activity on your PILLA Account.

(d)  Your account is dormant

(e) We are prohibited or restricted from doing so in accordance with the payment system regulations or any applicable law in Nigeria.

You may be required to set a password/Personal Identification Number (PIN) to carry out transactions using the account. When you enter your password to confirm a transaction, you confirm that we may treat the transaction as having been authorized. You are solely responsible for maintaining the confidentiality of your PIN and login details of your Account. You must protect the secrecy of your PIN and login details and prevent fraudulent use of the same.

9. Anti-Fraud

You agree and acknowledge that where the funds in your account have been flagged as or are suspected of being fraudulent in nature, Pilla may immediately suspend your account and retain the funds pending an investigation. You consent to us applying restrictions on your account and reporting to law enforcement agencies, including the Economic and Financial Crimes Commission, the Nigerian Financial Intelligence Unit, the Nigerian Police Force, etc., if a fraudulent activity is associated with the operation of your account. You consent to us reporting to Nigeria Inter-Bank Settlement Systems Plc (NIBBS) for update on the Watchlist Database of the Nigerian Banking Industry and the CBN if a fraudulent activity is associated with the operation of your account.

10. your account with us

To access or use our Services, you must create an account with us. When you create this account, or The Pilla team helps you create the account you agree to provide accurate and up-to-date information. It is important that you maintain and promptly update your details and any other information you provide to us, to keep such information current and complete.

It is important that you keep your account password confidential and that you do not disclose it to any third party. If you know or suspect that any third party knows your password or has accessed your account, you must promptly notify us at hello@pilla.africa. You agree that you are solely responsible (to us and to others) for the activity that occurs under your account. When creating an account, you must provide accurate information about yourself and create only one account for strictly personal purposes.

We take the protection of your privacy very seriously, and hence we accord all information related to your account with the high standards of data protection and security measures. If you no longer want to use our Services again, and would like your account deleted, we can take care of this for you. Please contact us via hello@pilla.africa. and we will provide you with further assistance and guide you through the process. Once you choose to delete your account, you will not be able to reactivate your account or retrieve any of the content or information you have added.

11. YOUR ACCESS TO AND USE OF OUR SERVICES

Your access to and use of the Services is subject to these Terms and all applicable laws and regulations. You may not:

• access or use the Services if you are not fully able and legally competent to agree to these Terms (not 18 years of age or above); in case you are under this age then you get any of your legal guardians to agree to these terms on your behalf;

• carry out any activity during the access or use of our Services which is unlawful, misleading, discriminatory or fraudulent in any way;

• make unauthorised copies, modify, adapt, translate, reverse engineer, disassemble, decompile or create any derivative works of the Services or any content included therein, including any files, tables or documentation (or any portion thereof) or determine or attempt to determine any source code, algorithms, methods or techniques embodied by the Services or any derivative works thereof;

• distribute, license, transfer, or sell, in whole or in part, any of the Services or any derivative works thereof;

• market, rent or lease the Services for a fee or charge;

• use the Services, without our express written consent, for any commercial or unauthorized purpose, including communicating or facilitating any commercial advertisement or solicitation or spamming except to the extent stated in these Terms;

• interfere with or attempt to interfere with the proper working of the Services, disrupt our website/application or any networks connected to the Services, or bypass any measures we may use to prevent or restrict access to the Services;

• incorporate the Services or any portion thereof into any other program or product. In such case, we reserve the right to refuse service, terminate accounts or limit access to the services in our sole discretion;

• use automated scripts to collect information from or otherwise interact with the Services;

•intimidate or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

• use or attempt to use another’s account, service or system without authorisation from PILLA, or create a false identity on the Services;

• use the Services in a manner that may create a conflict of interest or undermine the purposes of the Services, such as trading reviews with other users or writing or soliciting fake reviews;

• We reserve the right, at any time and without prior notice, to remove or disable access to content at our discretion for any reason or no reason. Some of the reasons we may remove or disable access to content may include finding the content objectionable, or otherwise harmful to the Services or our users, if reported and/or flagged by the users as objectionable and harmful. Additionally, we may assign or transfer the Service to another entity or company, at our sole discretion.

12. Fees and payments

Fees:You agree to pay all amounts due in accordance with the payment terms including any applicable service, transaction, or processing fees.

Payment:You may request a Pilla service by using a valid payment card through the applicable third-party payment provider (for App for iOS, Apple’s in-app payment mechanism; for our website and App for Android, the payment provider we select). You must provide the third-party payment provider with valid payment information (Visa, MasterCard, or other issuer accepted by the payment provider). You acknowledge and agree that Pilla does not operate, own, or control the payment provider. Your use of your payment card is governed by your agreement with and the privacy policy of the payment provider, not these Terms. You agree to immediately notify the payment provider of any change in your billing address (or other information) for your payment card.

PILLA reserves the right (but is under no obligation) to cancel your Pilla request if: (i) your payment method is declined; or (ii) you have previously been banned or removed from our Site for any reason. PILLA also reserves the right at any time to change its fees and payment procedures, including its payment options and terms, either immediately upon posting on our Site or by other notice to you.

Payment Questions: If you have a question about a transaction made on the App or a charge to your payment card, please contact us at hello@pilla.africa. We have the sole discretion to determine how billing disputes between us will be resolved.

13. Changing fees

We reserve the right, at any time, to change any fees or charges for using any services provided on the Service (or to begin charging fees for any free service), provided that such changes will not apply to fees or charges paid or free services used prior to the time of the change.

14. Ownership and content

Subject to the terms and conditions of the Terms, you are hereby granted a non-exclusive, limited, non-transferable, non-sublicensable, revocable, worldwide license to access and use the Services, including to download the Platform on a permitted device solely in compliance with these Terms. You acknowledge and agree that Pilla may terminate this license at any time for any reason or no reason.

15. copyright and intellectual property rights

We respect intellectual property rights and ask you to do the same. Further, all legal right, title, interest and intellectual property in the platform and the Services, (irrespective of whether those rights are registered or not, and wherever in the world those rights may exist), belong with Pilla. The Service is owned by Pilla exclusively.

16. THIRD PARTY CONTENT AND INTERACTIONS

Our Site may contain features and functionalities that link to or provide you with access to third party content that is completely independent of PILLA, including PILLA websites, platforms, directories, servers, networks, systems, information, databases, applications, software, programs, or services, and the Internet in general. Your interactions with third parties, including users found on or through our Site are solely between you and the third party. You should make whatever investigation you feel necessary or appropriate before proceeding with any contact or interaction, in connection with our Site or otherwise. However, you agree not to contact or interact with any User except as expressly permitted through our Site. You also agree that Pilla may, in its sole discretion, intercede in any dispute and you will reasonably cooperate with Pilla if it does so. You acknowledge and agree that we are not responsible or liable for any damages, losses, costs, expenses, or liabilities of any kind or nature incurred as the result of any such interaction. You hereby release each Pilla Party from claims, demands, and damages (actual and consequential) of every kind or nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes or our Site.

17. THIRD PARTY LINKS

In an attempt to provide increased value to our Users, we may provide links to other websites or resources. You acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content (including misrepresentative or defamatory content) of such websites, including (without limitation) any advertisement, or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external sites or resources.

18. CHANGES TO OUR WEBSITE

We can make changes to the Pilla Site and Services without notice or liability.

We have the right to terminate your membership, account, payment, or other affiliation with the Service at any time and for any reason. We can change our eligibility criteria at any time. If these things are prohibited by law where you live, then we revoke your right to use Pilla in that jurisdiction.

We will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.

We have the right to remove any user at any time, without prior notice, at our sole discretion, should we identify that their account is associated with behavior that we deem to be in violation of our rules or guidelines

We have the right to reject, cancel, interrupt, remove, or suspend any comment, or other posted comment at any time and for any reason.

PILLA is not liable for any damages as a result of any of these actions, and it is our policy not to comment on the reasons for any such action.

19. TERMINATION AND RESERVATION OF RIGHTS

You may cancel your Site account at any time by contacting a member of the PILLA team at hello@pilla.africaWe reserve the right to terminate access to our Site to any person, including you, at any time, for any reason, in our sole discretion. If you violate any of these Terms, your permission to use our Site automatically terminates.

20. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PILLA, its parents, proprietor, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents and advisors from any and all claims, liabilities, costs, and expenses, including, but not limited to, attorneys’ fees and expenses, arising out of a breach by you or any user of your account of these Terms or arising out of a breach of your obligations, representation and warranties under these Terms.

21. DISCLAIMER OF WARRANTIES

We Try To Keep Our Services Available At All Times, Bug-Free And Safe, However, You Use It At Your Own Risk. We Provide Our Services “As Is” With No Warranty, Express Or Implied, Of Any Kind (Including Any Implied Warranty Or Condition Of Fitness For A Particular Purpose, Availability, Security, And Non-Infringement Of Intellectual Property Rights). Without Limiting The Generality Of The Foregoing, We Make No Warranty That Our Services Will Meet Your Requirements Or That Our Website Will Remain Free From Any Interruption, Bugs, Inaccuracies, And Error Free. 

Your use Of Our Services Are At Your Own Risk And You Shall Be Solely Resposible For Any Damage That Results In Loss Of Data Or Any Other Kind Of Damage To Your Computer Or Mobile Device. No Advice Nor Information, Whether Oral Or Written Obtained By The Use Of Our Services Will Amount To A Warranty Or Condition Not Expressly Stated.

Under No Circumstance Shall PILLA Be Liable For Any Direct, Indirect, Incidental Punitive, Consequential, Special Or Exemplary Damages, Including Damages Resulting From Revenue Loss, Profit Loss, Use, Data, Goodwill , Business Interruption Or Any Other Intangible Losses (Whether Or Not We Have Been Advised Of The Possibility Of Such) Arising Out Of Our Services (Including, Without Limitation To Inability To Use, Or Arising From The Result Of Use Of Our Services) Whether Such Damages Are Based On Warranty, Tort, Contract, Statute Or Any Other Legal Theory.

All the information gathered in the online forms on the website is used to personally identify users that subscribe to this service. The information will not be used for anything other than which is stated in the Terms & Conditions of use for this service. None of the information will be sold or made available to anyone. Under no circumstances will PILLA be liable for any delay or failure in performance due in whole or in part to any acts of God (such as earthquakes, storms, floods, etc.), unavoidable accidents, laws, rules, regulations or orders of government authorities, acts of war (declared or not), terrorism, hostilities, blockades, civil disturbances, embargoes, strikes, or any other event or cause beyond the reasonable control of PILLA.

25. LAW

The Conditions will be exclusively governed by and construed in accordance with the laws of the Federal Republic of Nigeria whose Courts will have exclusive jurisdiction in any dispute, save that we have the right, at our sole discretion, to commence and pursue proceedings in alternative jurisdictions.

26. UPDATING OF THESE TERMS OF SERVICE

We reserve the right to change, modify, add to or remove from portions or the whole of these Terms of service from time to time. Changes to these Terms will become effective upon such changes being posted to this Website. It is the User’s obligation to periodically check these Terms of service at the Website for changes or updates. The User’s acceptance of these terms will be considered notice of the User’s acceptance to abide by and be bound by these Terms and Conditions, including all such changes or updates.

27. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed appropriately modified to give effect to the intent of the provision or, if modification is not possible, will be severed from these Terms and will not affect the enforceability of any other provision.

28. NO WAIVER OR AMENDMENT

The failure by PILLA to enforce any right or provision of these Terms will not prevent PILLA from enforcing such right or provision in the future and will not be deemed to modify these Terms.

29. STATUTORY RIGHTS

These terms and conditions do not affect your statutory rights as a consumer

30. GENERAL

These Terms of Service, together with the Privacy Policy and the other Governing Documents, constitute the entire agreement between you and PILLA concerning the Service and the services provided by PILLA

All the clauses and sub clauses in this Agreement are independent of each other. If one clause or sub clause is invalid or unenforceable, this will not affect any other clause or sub clause. If we fail to enforce a right under this Agreement, that failure will not prevent us from enforcing other rights, or the same type of right, on a later occasion. These terms & conditions are subject to change. Any changes we make to these terms in the future will be posted on this page.
